Engagement terms

Effective October 2026. Contracting party: OSIH, Kappelenstrasse 89, 3472 Wynigen, Switzerland.

  1. For direct purchases, the selected service's published scope, deliverables and timing on the services page, the fee shown in Stripe Checkout and these terms form the agreement. No separate proposal approval is needed. Custom work is defined by an approved written proposal; where it differs from these terms, the proposal applies.
  2. Direct-purchase fees are fixed in Swiss francs and include any applicable tax. Billing details and card payments are handled by Stripe, which provides an invoice. Custom-work fees, taxes and currency are set in the proposal and paid by Stripe invoice after approval. Work starts only once payment is confirmed.
  3. Fees are non-refundable once paid, subject to applicable law. The fee covers the agreed work, whatever the conclusion. If OSIH cannot accept or deliver the engagement, OSIH refunds the undelivered work.
  4. Delivery times run from confirmed payment, receipt of the required inputs and any requested NDA being agreed. Late inputs or changes to scope move the schedule, and extra scope is quoted separately.
  5. If OSIH needs to move a start date, we agree a new date with you.
  6. Implementation is billed at CHF 300/hour in prepaid blocks. Each block has a written scope and cap.
  7. You receive the right to use the delivered reports and materials within your organisation. OSIH keeps its methods, tools and pre-existing products, including Bwendi.
  8. Both sides keep the other's confidential information confidential. You may request an NDA at checkout without delaying payment. A request or payment does not sign an NDA; do not share confidential documents until it is agreed. Use of client data and AI tools requires agreement for the engagement before data is shared with a provider.
  9. Investors, boards and funders may commission and pay directly. The commissioning party receives the report unless another recipient arrangement is agreed in writing. Payment does not grant access to a third party's confidential information; you must have authority to share all supplied material.
  10. OSIH gives technology, data and adoption advice. It does not give legal, tax or regulatory advice and does not guarantee commercial results or AI accuracy.
  11. These terms and every engagement are governed by Swiss substantive law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Bern, Switzerland. OSIH may also bring a claim at the client’s registered seat.
